The term "Community Areas" means the bulletin boards, forums, poles, chat and other interactive areas on the Site.

Indemnification

You expressly agree to indemnify, hold harmless and defend InciteHEALTH.com, its affiliates and their officers, employees and agents (collectively, "Affiliated Parties") from and against any and all claims, actions, suits or proceedings, as well as any and all liabilities, losses, damages and expenses, including reasonable attorneys fees and costs, arising out of, or accruing from: (a) any harm that may arise as a result of the use of the material available on the site in the treatment of patients, or use in healthcare related decisions process. Notwithstanding the foregoing, InciteHEALTH.com reserves the right to assume at its own expense the exclusive defense and control of any matter subject to indemnification by You, in which event You will fully cooperate with InciteHEALTH.com, it's Affiliated Parties in asserting any available defenses.

Child Online Protection

As a Parent or legal guardian you are solely responsible for minors in your care. InciteHEALTH.com makes no claims of suitability of any content on the web site for minors. If You have agreed to a minor in your care to use this Site, You agree that You shall be solely responsible for monitoring such Minor's access to and use of the Site and the consequences of any use of the Site by such Minor.

We hereby notify You that parental control protection mechanisms including hardware, software, and services are commercially available that can assist You in limiting access to material on the Internet, including this site, that can potentially be harmful to minors.

Submissions or postings

Submissions posted to the Site are not necessarily reviewed by InciteHEALTH.com prior to posting and do not necessarily reflect the opinions or policies of InciteHEALTH.com. We make no warranties, express or implied, as to the accuracy and reliability of any content on the Site. Nonetheless, InciteHEALTH.com reserves the right to prevent You from contributing Submissions to the Site and to edit, change and/or remove such Submissions for any reason whatsoever without prior notice and without any limitations whatsoever.

Termination Policy

InciteHEALTH.com in its sole discretion reserves the right, but not the obligation, to terminate Your access to use the Site at any time, without prior notification and without limitations.

Miscellaneous

Any dispute or disagreement of any kind between the You and Us, this agreement shall be resolved by binding arbitration in accordance with the laws of the province of Ontario, Canada and the then current Rules of Procedure for Commercial Arbitration of the ADR Institute of Canada, Inc. (www.amic.org) (“Institute”). The arbitration tribunal shall consist of three (3) arbitrators chosen by the parties from a slate of eight (8) proposed arbitrators provided by the Institute. If the parties are unable to agree on all three arbitrators within seven (7) days after receipt of the slate provided by the Institute, the Institute shall appoint the number of arbitrators the parties have been unable to agree upon from the slate. The decision of the tribunal shall be final and binding and no appeal shall lie therefrom. The tribunal shall have the power to order one party to contribute to the reasonable costs and expenses of the other party, or to pay all or any portion of the costs of the arbitration, as the panel determines in its discretion.

The arbitration shall take place in Regional Municipality Halton, Ontario. If all parties and the arbitrator agree, arbitration may take place by telephone or by written communication. Unless the arbitrator otherwise directs, the parties, their representatives, other participants, and the arbitrator shall hold the existence, content, and result of the arbitration in confidence. No action, regardless of form, related to the obligations of the parties under this Agreement may be brought by either party against the other more than one (1) year after the cause of action has accrued. In any proceeding to enforce this Agreement, the prevailing party will have the right, in addition to its other rights hereunder, to recover its reasonable litigation costs and reasonable attorney fees.

Notwithstanding the foregoing, InciteHEALTH.com may seek immediate injunctive relief in the event of Your infringement of intellectual property rights hereunder or a breach of Your confidentiality obligations.

To the extent that anything in or associated with the Site is in conflict or inconsistent with this Agreement, this Agreement shall take precedence. Our failure to enforce any provision of this Agreement shall not be deemed either a waiver of such provision or a waiver of the right to enforce such provision. ~

Guidelines:
• Must be an English language website or English translation available.
• Must be well designed and maintained. Sites with broken links and missing images will not qualify.
• Sites must have their own domain.
• Titles and descriptions can only have capital letters only at the beginning of the words.
• Symbols and numbers are not accepted at the beginning of the title unless your url starts with a number.
• Submit only top level domains. Do not submit individual pages of the website or sub-domains.
• Submit to only one category.
• Spamming is not tolerated and will result in your site being banned from our directory.
• Sites with only banners and or excessive pop ups/unders will not be accepted.

The Site being suggested should have relevence to the theme and interest to the portal and its community and your chances of acceptance improve with a linkback.

If accepted, the listing is free. Various plans are available to enhance the visibility of your listing.

Please do not submit your site if:
•Your site includes any type of pornographic materials, hate materials, adult materials, racial materials, or unlawful practice.

We do not guarantee:
• Inclusion to our directory
• Results or traffic

We reserve the right to:
• Refuse inclusion for any reason.
• Alter title, descriptions and keywords.
• Move your site to another category.
